INTELLECTUAL PROPERTY RIGHTS ASSIGNMENT CLAUSE FOR EXTERNAL FREELANCERS
Parties
On the one hand: PANGEANIC BI EUROPA S.L., with registered office at Avenida Cortes Valencianas, 26-5 office 107, Valencia (46015), Spain, Tax ID B97253334, represented by Mr. Manuel Herranz Pérez (ID 22699082-Z), in his capacity as Sole Administrator (hereinafter, “PANGEANIC”).
And on the other hand: the independent translator (hereinafter, “the Translator”).
Both parties agree to the following intellectual property rights assignment clause.

OBJECT OF THE ASSIGNMENT
The Translator acknowledges that all translations, revisions, adaptations, and other linguistic work commissioned by PANGEANIC constitute derivative works based on original texts owned by PANGEANIC or its clients. Accordingly, the Translator assigns exclusively to PANGEANIC all exploitation rights over the translations produced under such assignments.

SCOPE OF THE ASSIGNMENT
The assignment covers all economic rights recognized under intellectual property law, including but not limited to reproduction, distribution, public communication, transformation, and any other mode of exploitation. PANGEANIC may use, adapt, modify, reproduce, or integrate such translations into its products, technological platforms, translation memories, machine translation engines, or artificial intelligence systems, as well as transfer them to its clients or third parties, without limitation.

TERRITORIAL AND TEMPORAL SCOPE
This assignment is granted worldwide and for an indefinite period, without any geographical or temporal restriction.

COMPENSATION
The remuneration agreed between PANGEANIC and the Translator for each assignment includes the full transfer of the exploitation rights over the translation. Therefore, the Translator shall not be entitled to any additional compensation for such rights.

MORAL RIGHTS
The Translator retains the moral rights of authorship recognized by law but expressly waives exercising them in any manner that may limit, condition, or restrict the use, modification, or adaptation of the translations by PANGEANIC or its clients.

CONFIDENTIALITY
The Translator agrees to treat as strictly confidential all information, documents, or materials received from PANGEANIC or its clients. The Translator may not retain copies, use such materials for purposes other than the execution of the assignment, nor disclose them in whole or in part without PANGEANIC’s prior written consent.

USE OF AUTOMATED TOOLS OR ARTIFICIAL INTELLIGENCE
When using computer-assisted or automated translation tools, the Translator guarantees that such tools do not transfer information to third parties nor store the texts on public servers without PANGEANIC’s prior consent. The Translator must manually review and validate the quality and accuracy of the translations before delivery. The intellectual property of the final text belongs exclusively to PANGEANIC.

ACCEPTANCE
The acceptance and signature of this document imply the Translator’s full agreement with the terms of this assignment. This clause forms an integral part of the collaboration agreement or the terms of service between PANGEANIC and the Translator.
