1. LICENSE GRANT

1.1 Subject to this license, the licensor grants the licensee a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Dataset solely in accordance with this license.

1.2 The license is granted for the licensee’s own use. All rights not expressly granted under this license are reserved by the licensor.

2. SOLE LICENSEE ACCESS

2.1 Access to, possession of, and use of the raw Dataset shall be restricted to the licensee.

2.2 No person or entity other than the licensee may access, view, inspect, possess, copy, download, process, analyze, or otherwise use the Dataset.

2.3 The licensee shall not provide access to the Dataset to any employee, student, research assistant, contractor, consultant, collaborator, research partner, affiliated institution, or other third party.

2.4 The licensee shall take reasonable technical and organizational measures to prevent unauthorized access to the Dataset.

3. MULTIPLE PROJECTS AND COLLABORATION

3.1 The licensee may use the Dataset for multiple projects, studies, research activities, model-development activities, evaluations, and other lawful purposes permitted by this license, without being limited to a single project.

3.2 The licensee may collaborate with other individuals or organizations on projects in which the Dataset is used, provided that such collaboration does not give any collaborator or other third party access to the Dataset.

3.3 Collaborators may contribute to research, software development, model development, analysis, writing, or other project activities, but they may not independently access, view, possess, copy, process, or use the Dataset.

3.4 The licensee may perform Dataset-dependent processing, training, or evaluation itself and may provide collaborators with outputs expressly permitted to be distributed under this license, including permitted model weights and aggregate evaluation results.

3.5 Collaboration does not create any license, right, or entitlement for a collaborator or third party to access or use the Dataset independently or for any other project.

4. PROHIBITED DISTRIBUTION AND SHARING

4.1 The licensee shall not sell, resell, transfer, assign, sublicense, publish, distribute, disclose, upload, transmit, or otherwise make the Dataset or any portion thereof available to any third party.

4.2 These restrictions apply regardless of whether the recipient is a collaborator, research partner, employee, contractor, academic institution, commercial entity, or other person or organization.

4.3 The licensee shall not place the Dataset, or any portion thereof, on a public or shared repository, file-sharing service, cloud storage location, code repository, data repository, or other system that permits access by persons other than the licensee.

4.4 The licensee shall not use the Dataset for the purpose of creating or providing a substitute dataset intended to reproduce or replace the Dataset.

5. MACHINE-LEARNING MODELS AND MODEL WEIGHTS

5.1 The licensee may use the Dataset to train, fine-tune, evaluate, validate, or otherwise develop machine-learning or artificial-intelligence models, including named-entity recognition (NER) models and transformer-based models.

5.2 Subject to this license, the licensee may publish, distribute, sublicense, or otherwise make available model weights resulting from training or fine-tuning using the Dataset, including as part of open-source or FOSS software projects.

5.3 Model weights distributed under Section 5.2 shall not include the Dataset or any substantial portion of the Dataset and shall not be distributed for the purpose of providing access to the Dataset.

5.4 The licensee shall not intentionally encode, embed, reproduce, or otherwise incorporate the raw Dataset, or a substantial portion thereof, into distributed model weights or associated distribution materials.

5.5 Authorization to distribute model weights does not grant any recipient of those weights any right to access, obtain, reconstruct, or otherwise use the Dataset.

5.6 The licensee remains responsible for ensuring that any distribution of model weights complies with the applicable license governing those weights and any third-party rights applicable to the model, software, or other components.

6. EVALUATION RESULTS AND PUBLICATION

6.1 The licensee may use the Dataset to evaluate machine-learning models, including comparisons among different architectures, pretrained models, multilingual models, and other systems.

6.2 The licensee may publish and distribute aggregate evaluation results, benchmark scores, accuracy measurements, statistical analyses, tables, figures, and other research findings derived from use of the Dataset.

6.3 The licensee may publish research papers, technical reports, presentations, and other scholarly or technical materials describing research conducted using the Dataset.

6.4 Permitted publications and disclosures shall not reproduce or disclose the Dataset or any substantial portion thereof.

6.5 The licensee shall not publish individual Dataset records, substantial excerpts of the underlying text, or other materials that would provide third parties with access to the Dataset, except to the extent expressly authorized in writing by the licensor.

7. DERIVED MATERIALS

7.1 Except for the Dataset itself and materials that reproduce or substantially embody the Dataset, the licensee may create and use materials derived from its use of the Dataset, subject to this license.

7.2 Permitted derived materials may include software, model weights, aggregate statistics, benchmark results, research findings, and other materials that do not provide third parties with access to the Dataset.

7.3 Nothing in this section permits the licensee to distribute or disclose the Dataset or any substantial portion thereof.

8. ATTRIBUTION AND CITATION

8.1 Whenever the Dataset is used in a publication, research paper, technical report, presentation, benchmark, documentation, software project, or other public-facing work, the licensee shall provide appropriate attribution and citation to the Dataset and its licensor/provider.

8.2 Where citation information is supplied with the Dataset or in the applicable marketplace listing, the licensee shall use that citation information where reasonably applicable.

8.3 Attribution and citation do not grant any third party a right to access, obtain, reproduce, or use the Dataset.

9. OWNERSHIP AND INTELLECTUAL PROPERTY

9.1 As between the parties, the licensor retains all right, title, and interest in and to the Dataset and all intellectual property rights owned or controlled by the licensor relating to the Dataset, except for rights expressly granted under this license.

9.2 The licensee acquires no ownership interest in the Dataset by virtue of this license or the licensee’s use of the Dataset.

9.3 To the extent the Dataset incorporates third-party materials or rights, the rights granted under this license are subject to the rights and restrictions applicable to those materials.

10. CONFIDENTIALITY AND SECURITY

10.1 The licensee shall maintain the Dataset in a manner reasonably designed to prevent unauthorized access, disclosure, copying, or distribution.

10.2 The licensee shall promptly notify the licensor of any unauthorized access to, disclosure of, or loss of the Dataset of which the licensee becomes aware.

10.3 The licensee shall use reasonable security measures appropriate to the nature of the Dataset and the restrictions imposed by this license.

11. TERM AND TERMINATION

11.1 This license begins on the effective date specified in the applicable order, invoice, dataset listing, or other licensing documentation and continues perpetually unless earlier terminated in accordance with this license.

11.2 Upon termination of the license, the licensee shall cease using the Dataset and shall delete or destroy all copies of the Dataset in its possession or control, except to the extent retention is required by applicable law.

11.3 Termination shall not by itself require the licensee to withdraw or destroy model weights, publications, or aggregate evaluation results that were lawfully distributed before termination, provided that such materials do not contain or provide access to the Dataset.

11.4 Sections concerning ownership, confidentiality, restrictions on Dataset disclosure, attribution, permitted model outputs, and provisions that by their nature should survive shall survive termination.

12. NO GRANT TO THIRD PARTIES

12.1 No third party receives any license or other right to the Dataset as a result of the licensee’s collaboration with that third party.

12.2 Any recipient of permitted model weights, publications, benchmark results, or other permitted outputs receives rights only in those outputs and receives no right to access, obtain, or use the Dataset.

13. COMPLIANCE WITH LAW

The licensee shall use the Dataset in compliance with applicable law and shall be responsible for obtaining any permissions or approvals required for the licensee’s particular research, commercial, or other activities.

14. DISCLAIMER

EXCEPT TO THE EXTENT OTHERWISE EXPRESSLY PROVIDED IN THIS LICENSE, THE DATASET IS PROVIDED “AS IS” AND “AS AVAILABLE.” THE LICENSOR DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THIS LICENSE OR THE LICENSEE’S USE OF THE DATASET.

16. ASSIGNMENT

The licensee may not assign, transfer, delegate, sublicense, or otherwise dispose of any rights or obligations under this license without the licensor’s prior written consent. Any attempted assignment or transfer in violation of this section is void to the extent permitted by applicable law.

17. ENTIRE AGREEMENT

This license, together with any applicable order, invoice, schedule, statement of work, dataset listing, or other licensing documentation expressly incorporated into it, constitutes the entire agreement concerning the licensing of the Dataset and supersedes prior or contemporaneous agreements concerning that subject matter.

18. AMENDMENTS

Any amendment to this license must be in writing and agreed by the parties, unless otherwise expressly provided in applicable licensing documentation.

19. SEVERABILITY

If any provision of this license is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its intended effect.

20. GOVERNING LAW

This license shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict-of-laws principles. Unless otherwise specified in applicable licensing documentation, the courts of Valencia, Spain shall have exclusive jurisdiction over disputes arising out of or in connection with this license, including disputes concerning its existence, validity, interpretation, performance, or termination.

21. NOTICES

Any notice required under this license shall be given in writing to the addresses or email addresses designated by the parties in the applicable licensing documentation.

22. ELECTRONIC ACCEPTANCE

Acceptance of the applicable dataset order, invoice, marketplace terms, download terms, or other licensing documentation incorporating this license constitutes acceptance of this license. Electronic acceptance shall have the same effect as written acceptance to the extent permitted by applicable law.
